Welcome to NOTR. The terms “we”, “us”, and “our” refer to NOTR INC. (“NOTR”), a company operating in Ontario, Canada.

By using our Services, you represent that you are at least the age of majority in your province or territory of residence or that you are accessing the Services under the supervision and consent of a parent or legal guardian, where permitted by law.

You may browse our online store without creating an account. To place an order or use certain features, you may be required to provide information such as your name, email address, billing address, shipping address, and payment details.

You agree that all information you provide is accurate, current, and complete and that you are authorized to provide it.

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account, subject to applicable law.

You must not sell, transfer, or assign your account to another person without our prior written consent.

We reserve the right to suspend or terminate access to an account where we reasonably believe that the account has been used fraudulently, unlawfully, or in violation of these Terms, subject to applicable law.

2. Our Products

NOTR offers a curated selection of products, including coffee and other beverages and related products, as identified in the applicable product listings.

We make reasonable efforts to ensure that product descriptions, photographs, specifications, prices, and other information displayed in our online store are accurate and current.

Actual product appearance, packaging, and colours may vary slightly from the images displayed on your screen. Such differences may result from device settings, display technology, packaging updates, or other reasonable factors.

Product availability may change without notice. We reserve the right to discontinue products, update product listings, or limit purchase quantities, subject to applicable law and any existing obligations to customers.

Product descriptions and representations will not intentionally misrepresent the nature, composition, origin, quality, or other material characteristics of a product.

Product packaging, ingredient information, and other mandatory labelling information should be reviewed before consumption. Customers should follow the preparation, storage, and use instructions provided with the product.

Nothing in this section limits any rights you may have under applicable consumer protection laws.

3. Orders and Acceptance

When you place an order through our online store, you submit an offer to purchase the selected products under these Terms of Service.

After submitting an order, you may receive an order confirmation email acknowledging receipt of your order. An order confirmation does not necessarily constitute final acceptance of the order.

We reserve the right to accept, decline, or cancel an order where permitted by law, including in cases involving suspected fraud, unauthorized transactions, material pricing or listing errors, product unavailability, or shipping restrictions.

If we cancel an order after payment has been collected, we will issue an appropriate refund to the original payment method, subject to applicable law and the payment provider’s procedures.

If we need to make a material change to an order, we will contact you using the contact information provided at checkout and obtain any consent required by law.

Please review your order carefully before completing checkout. If you need to request a cancellation or change, contact us as soon as possible at hi@notr.ca. We cannot guarantee that a request can be accommodated once an order has entered processing or fulfillment.

Orders are subject to our applicable Return and Refund Policy.

By placing an order, you confirm that the purchase is for lawful purposes and that the information and payment details you provide are accurate and authorized.

Nothing in this section limits statutory cancellation, refund, or other consumer rights that may apply.

4. Prices, Taxes, and Payment

All prices are displayed in Canadian dollars unless expressly stated otherwise.

Product prices, discounts, and promotions may change from time to time. The price applicable to your purchase will be the price displayed at checkout when you submit your order, subject to applicable law.

Applicable taxes, including HST where required, will be calculated and displayed at checkout.

Shipping charges, if any, will be displayed before you complete your purchase. Any other charges that apply to your order will be disclosed as required by law.

We currently offer free shipping within Canada, subject to the terms and conditions displayed on our website and any applicable product or delivery restrictions.

Prices and promotions available through our online store may differ from those offered by third-party retailers or other sales channels.

Promotional offers may be subject to additional terms, including eligibility requirements, availability, and expiry dates. Where promotional terms conflict with these Terms, the specific promotional terms will apply to the extent permitted by law.

You agree to provide current, complete, and accurate billing, payment, and contact information.

By submitting an order, you confirm that you are authorized to use the payment method provided and authorize the applicable payment processor to process the transaction.

We do not knowingly charge customers amounts that have not been disclosed or authorized as required by applicable law.

5. Shipping and Delivery

We currently offer free shipping within Canada, subject to the shipping terms displayed on our website at the time of purchase.

Shipping availability, delivery methods, estimated delivery times, and any applicable restrictions will be communicated through the relevant product listing, checkout page, or Shipping Policy.

Delivery estimates are provided for informational purposes and are not guaranteed unless expressly stated otherwise. Actual delivery times may vary depending on the destination, carrier, fulfillment method, weather, and other circumstances.

Orders may be fulfilled and shipped by third-party fulfillment providers, including Amazon, where applicable. The fulfillment provider may determine the shipping carrier, tracking arrangements, and available delivery options.

Where tracking information is available, it will be provided to the customer or made accessible through the applicable order or shipping notification.

NOTR is not responsible for delays caused by circumstances outside our reasonable control, including carrier disruptions, severe weather, natural disasters, labour disputes, customs processing, or government restrictions. However, nothing in this section excludes any responsibility or remedy that cannot legally be excluded under applicable law.

Shipping charges, delivery estimates, and eligibility for free shipping will be disclosed before an order is completed.

Risk of loss and responsibility for delivery will be determined in accordance with applicable law and the terms governing the transaction. Nothing in these Terms transfers risk to the customer earlier than permitted by law.

6. Intellectual Property

All content made available through our Services, including our brand name, logos, product names, designs, photographs, graphics, text, videos, page layouts, and other original materials, is owned by or licensed to NOTR INC. or the applicable rights holders and is protected by applicable intellectual property laws.

The NOTR name, logos, product names, visual identity, and related brand elements may not be used without prior written permission from the applicable rights holder, except where permitted by law.

You may access and use our Services for personal, lawful, non-commercial purposes.

Except as expressly permitted by law or authorized in writing by us, you must not reproduce, distribute, modify, republish, commercially exploit, or create derivative works from content available through our Services.

The purchase of a product does not transfer ownership of any trademark, copyright, patent, design right, or other intellectual property associated with the product or its packaging.

All rights not expressly granted remain reserved by NOTR INC. or the relevant rights holders.

Shopify and other third-party names, logos, and trademarks appearing on our Services belong to their respective owners.

Questions or disputes concerning a third-party product or service should generally be directed to the relevant provider, except where NOTR has its own legal obligations in relation to the matter.

9. Relationship with Shopify

Our online store is hosted by Shopify, which provides the e-commerce platform that enables us to offer our Services.

When you access or use our online store, Shopify may process information relating to your visit, device, browsing activity, and transactions as described in Shopify’s applicable privacy documentation.

Purchases made through our online store are transactions with NOTR INC., unless the relevant checkout or sales channel expressly identifies a different seller.

Shopify provides platform services and is not the seller of NOTR products solely because it hosts our online store.

Nothing in these Terms releases Shopify or any other party from responsibilities that cannot legally be excluded.

If you submit a review, suggestion, comment, idea, or other feedback to us (“Feedback”), you grant NOTR INC. a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish, display, distribute, and adapt that Feedback for purposes related to operating, improving, and promoting our business and Services, subject to applicable law.

This licence does not transfer ownership of your Feedback to us.

You represent that you have the necessary rights to submit the Feedback and that it does not knowingly violate another person’s rights or applicable law.

Reviews and testimonials must reflect genuine experiences. You must not submit fraudulent, misleading, or deceptive reviews or impersonate another person.

If compensation, free products, or other incentives are provided in exchange for a review or endorsement, that relationship must be disclosed where required by law.

We may remove or decline to publish Feedback that we reasonably believe is unlawful, fraudulent, abusive, irrelevant, or in violation of these Terms or another person’s rights.

We are not obligated to publish, retain, or respond to every submission.

12. Errors, Inaccuracies, and Omissions

Occasionally, information on our website may contain typographical errors, inaccuracies, or omissions relating to product descriptions, prices, promotions, shipping charges, availability, or other matters.

We reserve the right to correct errors, update information, and make reasonable changes to our website, subject to applicable law.

If a material error affects an order that has already been placed, we will address the issue in accordance with applicable law. Where required, we will contact the customer and obtain consent, offer an appropriate remedy, or cancel the order and issue a refund.

We will not rely on this section to avoid obligations that apply under Ontario or Canadian consumer protection laws.

You must not use our Services:

Automated Agents must not misrepresent their identity, circumvent access controls, interfere with website security, or disregard reasonable restrictions communicated by NOTR.

Any automated access permitted by NOTR must comply with applicable law and any additional conditions we communicate.

Nothing in this section is intended to prohibit legitimate accessibility tools, ordinary search engine indexing, or other lawful activities that are permitted by our published policies and applicable law.

15. Suspension and Termination

We may suspend or terminate your access to our Services, in whole or in part, where permitted by law, including when we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or created a security or legal risk.

Where appropriate and reasonably practicable, we may provide notice of the suspension or termination.

Termination does not affect rights, obligations, refunds, or remedies that arose before termination or that must continue under applicable law.

Provisions that by their nature should survive termination, including those relating to intellectual property, customer Feedback, limitation of liability, indemnification, governing law, and privacy, will continue to apply to the extent permitted by law.

16. Disclaimer of Warranties

We make reasonable efforts to maintain accurate product information and reliable access to our Services.

However, except as expressly stated by NOTR or required by applicable law, our website and online Services are provided on an “as available” basis.

We do not guarantee that access to our website will always be uninterrupted, error-free, secure, or available at every time or location.

To the fullest extent permitted by applicable law, NOTR INC. and its directors, officers, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, or consequential losses arising from the use of our Services where such liability may lawfully be excluded.

This may include certain losses of profits, revenue, business opportunities, or data, to the extent permitted by applicable law.

Nothing in these Terms limits or excludes liability for matters that cannot legally be limited or excluded, including any applicable statutory rights, liability for fraud, or other liability that must remain enforceable under applicable law.

Nothing in this section limits a customer’s right to pursue a remedy available under applicable consumer protection legislation.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless NOTR INC. and its directors, officers, employees, agents, contractors, affiliates, and service providers against reasonable third-party claims, losses, and expenses arising directly from your unlawful use of the Services, your infringement of another person’s rights, or your material breach of these Terms.

This obligation does not apply to the extent a claim results from NOTR’s own negligence, misconduct, breach of law, or other circumstances for which responsibility cannot legally be transferred to you.

We will provide reasonable notice of a claim for which indemnification is sought, where legally required, and will not settle a claim in a manner that imposes material obligations on you without your consent, which will not be unreasonably withheld.

Nothing in this section limits any rights or protections that cannot legally be waived.

19. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the extent necessary.

The remaining provisions will continue in effect, provided that the remaining Terms remain consistent with applicable law.

No provision of these Terms is intended to override mandatory consumer protection rights or other non-waivable statutory protections.

20. Waiver and Entire Agreement

These Terms of Service, together with the policies expressly incorporated by reference, constitute the agreement governing your use of our Services, subject to applicable law.

If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.

If a provision conflicts with a mandatory legal requirement, the applicable legal requirement will prevail to the extent of the conflict.

Nothing in these Terms limits rights arising from representations or obligations that cannot legally be excluded.

21. Assignment

NOTR INC. may assign or transfer its rights and obligations in connection with a corporate reorganization, merger, acquisition, or transfer of business, subject to applicable law and any required notices or consents.

Any assignment will not remove or diminish rights that customers have under applicable law.

22. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles.

Subject to applicable law, disputes relating to these Terms or our Services may be brought before the courts of Ontario.

Nothing in this section prevents a customer from exercising a right to bring a claim before another court or tribunal where permitted or required by applicable law.

Mandatory consumer protection laws applicable to a customer will continue to apply.

23. Language

These Terms of Service are provided in English.

If we make a translated version available, we will identify the applicable version and address any differences in accordance with applicable law.

Nothing in this section overrides any language rights or disclosure requirements imposed by law.

24. Headings

The headings in these Terms are included for convenience only and do not affect the interpretation of the provisions.

25. Electronic Communications

By using our Services or placing an order, you agree that we may communicate with you electronically regarding transactions, order confirmations, shipping updates, customer support, account matters, and other service-related issues.

You are responsible for providing an accurate email address and keeping your contact information current.

Where consent is required by law for marketing or promotional electronic messages, we will obtain and manage that consent in accordance with applicable legislation, including Canada’s Anti-Spam Legislation.

You may unsubscribe from promotional emails using the unsubscribe mechanism provided in the message. Unsubscribing from marketing communications will not prevent us from sending necessary transactional or service-related communications.
